Leadership Coaching/Independent Consulting and Training for Boards, Senior Management and Venture Investors preparing for an IPO on a US Stock Exchange
Governance training is now available from a seasoned professional either live or online. Available formats include traditional the live conference/training forum or distance training online with web based audio-visual conference support. The training will introduce those new to "US governance requirements" what they need to know about public company fiduciary duties as Board Members and as Senior Executives who have the responsibility to support their Boards. In addition to modules that address governance generally, there are specific modules for the Audit, Compensation, Nominating & Governance Committees as well as a module about how to build a Board that meets the specific needs of your company. This training is especially suited the orientation of new Board members and to establish benchmarks and expectations for Senior Management Teams in the governance area. Simultaneous translation services for foreign companies during presentations can be arranged if necessary. The training is specifically designed for private companies and their boards, executives and Venture Capital owners who are thinking about listing their company on a US stock exchange.
There's a clear and present need for answers to the question: "What am I getting myself into?" when a company goes through the transition from a private to a public company and is unfamiliar with the US corporate governance environment. This is especially true when the US company's assets consist primarily of the assets and business of a foreign company but the listing of the parent, either through a traditional IPO or an alternative strategy, is on a US exchange.
Venture capital investors have a need to know that the entrepreneurs they are financing are willing to "play by the rules" after they go public and the entrepreneurs need to know what those rules are and how they can be effective within the checks and balances of having to deal with an independent board.
Managing expectations – that's what it is all about. And it's not uncommon for investors to require part of their funding to be used to fund basic governance education and orientation as the company prepares to go from being a private to a public company with independent directors.
You can provide the opportunity for all parties involved to have an understanding of what will be expected of them when the company goes public – the risks are too high not to!
Call or email for more information about how a common sense, practical, business-oriented, governance orientation can be put together to meet your needs. It's available – insist that your portfolio companies take advantage of it.

Leadership Coaching and Independent Consulting for Executives Responsible for Board of Director Assessments and Evaluations
Enough years have gone by since the NYSE required Boards of listed companies to conduct annual evaluations for them to be much more common than they were. The first evaluations generated some energy and sometimes trepidation because of their newness. But now the issue is how to keep them fresh - how to make them useful. If you are not interested in a cookie-cutter exercise, then perhaps a seasoned governance professional can help facilitate your effort the next time around. Pro-active facilitation OR behind-the-scenes consulting is available for CEO's, General Counsels and Chairs of a Public or Private Board's Governance Committee.
Best Advice I Ever Gave a Board
Socrates had it right. "Know thyself" was his admonition. The best advice I ever gave to a board was similar in nature - well before the Enron and other corporate scandals made the headlines. "Who are you?" was the question. What do you stand for? What do you want to accomplish and how do you want to do it? What best practices make sense for this board, at this time, with these businesses? A thorough board self-evaluation process followed – long before the NYSE rules required one. The board set its compass. Their charter was drafted. Their direction was clear.
The Challenge
As a board member, understanding how you and your peers on the board are performing your fiduciary duties and taking a look to see if the board is working together effectively is crucial to understanding how far you have to go to achieve the board performance level you want or need.
One way you and your board can take stock of "where you are" and map out "where you want to be" is to engage in a meaningful and well-managed board self-assessment.

Independent Consulting and Project Management for Organization Effectiveness Assessments for Law Departments
You are a General counsel or a CEO thinking about your law department and one day you say: "It could be better. It must be better. But I am not sure where to start." Well, perhaps you start small by finding and talking to someone who has been in the trenches and has first hand experience totally and successfully re-engineering a public company law department. You don't need to re-invent the wheel. You don't have to make the same mistakes others have made. If you like what you hear, the next step would be to map out an assessment plan and put together a multi-disciplinary team of professionals that are experienced experts in assessing the infrastructure, organization, mission alignment and effectiveness of your law department. The scope of the project can be tailored to your particular needs. The team normally would include a former public company General Counsel, a PhD psychologist and organization design professional, technical IT consultants and other law department administrative professionals. The deliverable would include a confidential report and debriefing with specific recommendations.
